These Terms of Service ("Terms") govern your access to and use of the websites, products, and services ("Services") provided by XEROML Inc. ("XEROML", "we", "us", or "our"), including xeroml.com and the XeroML application at app.xeroml.com.
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.
You must be at least 13 years of age to use our Services. By using our Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
You may create an account using Google Sign-In via our identity provider (WorkOS). You are responsible for:
API keys are shown to you exactly once upon creation and are not recoverable. You must revoke and regenerate any key you believe has been compromised. We reserve the right to revoke any API key that we determine is being used in violation of these Terms.
You agree not to use the Services to:
We reserve the right to suspend or terminate access for any use we determine, at our sole discretion, to be in violation of these Terms or harmful to other users or the integrity of our Services.
We may impose rate limits, usage quotas, or other restrictions on API access at any time without notice. Free-tier usage is provided at our discretion and may be modified or discontinued at any time. Exceeding rate limits may result in temporary or permanent suspension of your API key.
The Services, including all software, models, algorithms, designs, text, and content, are owned by XEROML Inc. and are protected by intellectual property laws. These Terms do not grant you any ownership rights in the Services.
You retain full ownership of any content or data you submit to the Services ("Your Content"). By submitting content, you grant us a limited, non-exclusive, royalty-free license to process Your Content solely as necessary to provide the Services to you. We do not use Your Content to train our models or share it with third parties.
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.
Our Services integrate with third-party providers including WorkOS (authentication) and OpenAI (inference). Your use of these integrations is also subject to those providers' terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
We make no guarantees regarding uptime, API availability, or response latency. No SLA is provided unless separately agreed to in a written agreement.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XEROML INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.
You agree to indemnify, defend, and hold harmless XEROML Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may stop using the Services at any time. Upon termination, all API keys associated with your account will be revoked and all rights granted under these Terms will cease immediately.
Sections 6, 9, 10, 11, and 13 survive termination of these Terms.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
We may update these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify registered users. Continued use of the Services after any changes constitutes your acceptance of the updated Terms.
